Terms of sale
These terms bind the publisher to the company that subscribes to Agora (the customer). They are for professionals only: Agora is not sold to consumers.
Version of 1 November 2026
This is a translation provided for convenience. The French version is the one that applies.
Draft under legal review: this document does not yet bind the publisher and may change before it is published.
1. Parties and contract documents
The seller is , SIREN , , (“the publisher”). The customer is the legal entity or professional identified at sign-up by its SIREN or VAT number.
The contract consists of, in order of precedence: these terms of sale, the data processing agreement (GDPR article 28), the terms of use, and the chosen offer (plan, number of seats, term). In case of conflict, the document listed first prevails.
The person who signs the customer up declares that they have authority to bind it. The terms accepted are the version in force at that time, whose number is kept.
2. The service
The publisher provides the customer with one or more Agora spaces, as an online service (SaaS), with the features and quotas of the chosen plan: number of members, storage, recording and transcription minutes, language model requests.
Support requests go to . [To be confirmed: hours, response times and availability commitment.]
The publisher may develop Agora. During the current period, it does not withdraw an essential feature of the plan subscribed to without offering an equivalent one.
3. Trial
A new space starts with a free trial, whose length and limits are shown in the offer at sign-up. A company gets one trial only.
Nothing is charged during the trial. Reminders are sent before it ends; without a chosen plan, the space follows the path described in article 7.
4. The customer's obligations
The customer appoints at least one administrator, who manages access, roles and features of the space. It has its users and guests comply with the terms of use.
It remains responsible for the content of its spaces and for meeting its own obligations, in particular informing its employees about the tool and, when it turns capture on, about meeting recording and transcription.
5. Security and confidentiality
The publisher protects spaces with appropriate measures: encrypted communications, encryption of stored files and recordings, access control, a log of administration actions, and support access only with the customer's consent.
Each party keeps the other's non-public information confidential, during the contract and for five years after. [To be confirmed: duration.]
6. Prices, invoicing and payment
Prices are those of the offer in force, in euros excluding tax, per member and per month, with a monthly or yearly commitment. VAT is added: French VAT for a customer established in France, reverse charge for a VAT-registered customer in another EU country, out of scope for a customer established outside the EU.
Invoices are issued by the publisher at the start of each period, in electronic form, and paid by bank transfer within the period they state, or by card or SEPA direct debit through Stripe. No card or bank account data goes through Agora.
A seat added during a period is invoiced pro rata; a seat removed is removed at the next renewal.
Any late payment automatically incurs penalties at the European Central Bank's interest rate plus ten points, and a fixed recovery charge of €40 (article L. 441-10 of the French Commercial Code).
The publisher may change its prices for later periods, giving the customer at least 30 days' notice before renewal.
7. Term, cancellation and unpaid invoices
The subscription renews for successive periods of the same length. The customer may cancel it at any time from its space; cancellation takes effect at the end of the current period, without refund of the period started.
At the end of a trial without a plan, of a cancelled subscription or in case of an unpaid invoice, the space enters a grace period, then is locked: only its administrators can still enter, to choose a plan or pay. The periods are shown in the offer; the customer is told by e-mail at each step.
A locked space is deleted, with its content, at the end of the retention period shown in the offer (90 days by default), after a final warning.
Either party may terminate the contract if the other seriously breaches its obligations, after a formal notice left unremedied for 30 days.
8. Retention and return of content
During the contract, the customer sets the retention of its content within what Agora offers: meeting recordings are deleted after 30 days and transcripts and meeting notes after 12 months, unless set otherwise.
Before the space is deleted, the customer may retrieve its content. [To be confirmed: export formats and means offered.] After deletion, content can no longer be retrieved, apart from technical backups erased as they rotate. [To be confirmed: backup rotation period.]
9. Personal data
For the data of its spaces, the customer is the controller and the publisher its processor. The publisher's commitments (instructions, security, sub-processors, assistance, return and deletion) are set out in the data processing agreement, which forms part of the contract. The privacy policy describes the processing for which the publisher is itself the controller.
10. Intellectual property
Agora remains the publisher's property. For the term of the contract, the customer receives a non-exclusive, non-transferable right of use, for its own needs and those of its users.
The customer's content remains its property. It authorises the publisher to process it only as far as the service requires.
The publisher may mention the customer as a reference only with its written consent.
11. Warranties and liability
The publisher undertakes to provide the service with care, as described; it is bound by an obligation of means.
Neither party is liable for indirect damage, such as loss of revenue, customers or reputation. The publisher's total liability, for all causes combined, is limited to the amounts paid by the customer for the twelve months before the event giving rise to it. These limits do not apply in case of gross negligence or wilful misconduct, nor to bodily injury.
The publisher is not liable for third-party services the customer chooses to connect to Agora (calendar, the company's language model provider, integrations).
[To be confirmed: liability cap and warranty against eviction.]
12. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code. If it lasts more than 30 days, either party may terminate the contract without compensation.
13. Changes to these terms
The publisher may change these terms. The new version is notified to the customer at least 30 days before it applies; if the customer refuses it, it may cancel before that date at no cost. The terms accepted at sign-up remain recorded with their version number.
14. Governing law and disputes
The contract is governed by French law. The parties first seek an amicable solution for 30 days. Failing that, the dispute is brought before the competent courts for the publisher's registered office, including for interim relief or where there are several defendants.
